Digital Marketing Services

Versante Marketing LLC provides professional marketing services including, but not limited to, search engine optimization (SEO), pay-per-click (PPC) advertising, social media marketing, content strategy, email automation, and marketing analytics. Delivery timelines are estimates and may change based on scope, approvals, or platform requirements. Payment terms are defined in your Service Agreement. Timely access to brand assets, analytics, ad accounts, and stakeholders is required for effective execution.

Intellectual Property

The Agreement does not transfer from Us to you any of Ours or third party intellectual property, and all right, title, and interest in and to such property will remain (as between the parties) solely with Versante Marketing LLC and its licensors. Any campaign materials, strategies, or creative content developed by us remain our intellectual property until full payment for the services is received, at which point ownership may be transferred as specified in the Service Agreement.

Third-Party Services

In using the Services, you may use third-party services, products, software, embeds, or applications developed by a third party ("Third-Party Services"), such as Google Analytics, Facebook Ads, etc. You understand that any use of a Third Party Service is at your own risk, and we shall not be responsible or liable to anyone for Third Party websites or Services.

Termination

We may terminate or suspend your access to all or any part of our Services at any time, with or without cause, with or without notice, effective immediately. Termination of a Service Agreement is subject to the conditions, including notice periods and final payments, outlined within that agreement.

Disclaimer

Our Services are provided on an "AS IS" and "AS AVAILABLE" basis. Versante Marketing LLC and its suppliers and licensors disclaim all warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee specific marketing outcomes (including rankings, impressions, conversions, or revenue).

Jurisdiction and Applicable Law

Except to the extent any applicable law provides otherwise, the Agreement and any access to or use of our Services will be governed by the laws of the State of Missouri. The proper venue for disputes arising out of or relating to the Agreement or your use of our Services will be the state and federal courts located in Jackson County, Missouri.
